Definitions

“Company” means Hudson Valley Bio-Clean LLC and its employees, agents, and subcontractors.

“Client” means the person or entity ordering services (property owner, authorized agent, insurer, or public agency).

“Property” means the job site, structure(s), vehicle(s), or area(s) where services are performed.

“Hazardous Materials/Biohazards” include blood, bodily fluids, human/animal remains, OPIM, sharps, medical waste, chemicals, controlled substances/residues, mold, hoarding-derived contaminants, and other dangerous materials.

“Work Authorization/Agreement” means the signed estimate, proposal, work order, or invoice incorporating these Terms.
Scope of Services
The Company provides specialized cleaning and remediation services, which may include biohazard containment and removal, trauma/crime scene cleanup, hoarding/unsanitary living remediation, odor mitigation, gross filth removal, infectious disease disinfection, animal waste/infestation cleanup, vehicle decontamination, and related documentation.
Exclusions (unless expressly stated in writing)
structural repairs, mold testing/clearance testing, HVAC remediation, pest control, forensic analysis, personal property valuation, contents restoration beyond basic wipe-down/pack-out, public adjusting, law enforcement evidence handling (except as coordinated per §12), and any work requiring licensed trades not engaged by the Company.
Estimates, Pricing & Change Orders

Estimates: Unless otherwise noted, estimates are good-faith, non-binding approximations based on visible conditions. Hidden/latent conditions (e.g., under flooring, inside walls/vehicles, heavy contents) may necessitate change orders and additional charges.

Rates & Fees: Pricing may include labor (standard/after-hours), PPE, consumables, specialized equipment use, biohazard packaging/transport/disposal, odor treatments, documentation/reporting, and travel/mobilization.

Minimums: Per-visit or per-project minimum charges may apply.

Change Orders: Material changes in scope, hazards, access, or regulatory requirements will be documented via written change order (email/text accepted) and billed accordingly.

Taxes & Surcharges: Applicable taxes, permits, tolls, and disposal surcharges are the Client’s responsibility.
Scheduling, Access & Site Conditions

Access: Client shall provide safe, lawful access to the Property and disclose known hazards, structural defects, firearms, dangerous animals, or occupants.

Utilities: Client ensures availability of safe power, water, lighting, and ventilation as needed.

Stop-Work Authority: The Company may pause or terminate work if conditions are unsafe, unlawful, or non-compliant.

Emergency Response: After-hours and emergency mobilizations may incur premium rates.
Client Responsibilities

Identify the legal property owner/authorized agent and obtain permissions required for entry and disposal of contaminated materials.

Remove or segregate valuables/keepsakes prior to work. The Company may dispose of items contaminated or deemed non-recoverable for health/safety.

Secure pets and inform occupants/visitors of restricted areas.

Cooperate with the Company, insurers, and regulators as necessary for compliance.
Regulatory Compliance & Waste Handling
The Company will handle biohazards in accordance with applicable occupational safety, transportation, and waste disposal regulations. Regulator-required documentation (e.g., manifests, chain-of-custody for regulated waste) may be issued and retained. Client authorizes the Company to package, transport (directly or via licensed carriers), and dispose of contaminated materials and waste in accordance with law. Any lab testing/clearance is not included unless expressly stated.
Photographs, Documentation & Data
Client authorizes the Company to photograph, video, and document work areas and materials for safety, reporting, insurance, regulatory, and quality purposes. The Company will not publicly disclose personally sensitive content except as required by law or with Client consent.
Health & Safety; Re-Occupancy

The Property may remain unsafe to occupy until work is completed and, where applicable, post-cleaning guidance is followed.

The Company provides general re-occupancy guidance, but no guarantee of medical fitness is made.

Odor mitigation results may vary; complete odor elimination is not guaranteed where sources are structural or persistent.
Subcontractors & Third Parties
The Company may engage qualified subcontractors (e.g., licensed transporters, specialized trades) to fulfill portions of the work. The Company remains responsible for coordinating services within the scope of the Work Authorization.
Payment Terms

Deposit: A deposit of 60% is required prior to mobilization.

Due Dates: Unless stated otherwise, payment is due upon substantial completion and invoicing.

Late Fees: Past-due balances may incur late charges and collection costs.

Returned Payments: NSF/returned payments are subject to fees.

Insurance Claims: Client remains ultimately responsible for payment regardless of insurance reimbursement.

Lien Rights: The Company may exercise lien rights and other lawful remedies for non-payment.

Refunds: Due to the nature of emergency and specialty cleaning, refunds are limited to billing corrections and services not rendered.
Cancellations & Rescheduling

Standard Jobs: Cancellation/rescheduling with at least 24 hours’ notice may avoid fees; otherwise, mobilization and minimum charges may apply.

Emergency Jobs: Once mobilized, minimum and call-out charges apply.

Consumer Right to Cancel (if applicable): If the Work Authorization is signed at the Client’s residence and not for emergency services requested by the Client, consumer cancellation rights may apply under applicable New York law; the Company will provide any required notices in the contract.
Law Enforcement, Evidence & Sensitive Scenes
For crime/trauma scenes, the Company will coordinate with law enforcement or the authorized investigator before disturbing potential evidence. Client is responsible for ensuring that release of the scene is obtained where required. The Company does not provide forensic services.
Property & Contents; Disposal Authorization
Client authorizes the Company to remove, package, and dispose of contaminated materials, debris, and contents the Company deems unsafe or non-recoverable. Where salvage decisions are ambiguous, the Company will seek Client direction; absent timely direction, the Company may proceed with disposal to protect health/safety. The Company is not liable for disposal of items that are contaminated, pose risk, or are unidentifiable due to condition.
Warranties & Disclaimers

Service Warranty: The Company warrants work will be performed in a professional and workmanlike manner consistent with industry standards.

No Medical Warranty: The Company does not warrant medical outcomes or complete elimination of pathogens/odors in all circumstances.

Third-Party Testing: Any clearance testing (e.g., lab swabs, mold air sampling) is not included unless expressly contracted.

Indirect Damages: The Company disclaims liability for consequential, incidental, or special damages (lost profits, business interruption), to the fullest extent permitted by law.
Limitation of Liability & Indemnification
To the fullest extent permitted by law, the Company’s aggregate liability arising from or related to the services shall not exceed the total amount paid by Client for the specific project giving rise to the claim. Client agrees to indemnify, defend, and hold harmless the Company from claims arising out of (a) inaccurate information provided by Client, (b) unauthorized access or interference by third parties, and (c) pre-existing conditions or hidden hazards at the Property, except to the extent caused by the Company’s gross negligence or willful misconduct.
Insurance & Risk Allocation
The Company maintains commercial insurance appropriate for its operations. Client acknowledges that biohazard/trauma cleanup may involve inherent risks and agrees that risk allocation and limitations herein are reasonable given the nature of the services.
Confidentiality & Privacy
The Company treats Client information and sensitive scene details as confidential and will only share with personnel, insurers, regulators, or law enforcement as necessary to perform services or comply with law. The Company will use reasonable safeguards to protect documentation and records.
Force Majeure
The Company is not liable for delays or failures due to events beyond its reasonable control, including severe weather, power outages, supply chain disruptions, public emergencies, labor actions, acts of God, or regulatory actions.
Governing Law; Dispute Resolution; Venue
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute not resolved by good-faith negotiation shall be submitted first to mediation in Dutchess County, NY (unless otherwise agreed). If unresolved, the dispute may be brought in the state courts of New York located in or serving Dutchess County or the U.S. District Court for the Southern District of New York, as applicable. Jury trial is waived to the extent permitted by law.
Assignment; Subrogation Waiver
Client may not assign the Work Authorization without the Company’s consent. Insurers and adjusters may rely on documentation provided; however, waiver of subrogation is only effective if expressly agreed in writing by the Company and its insurer.
Notices & Electronic Signatures
Notices under these Terms may be delivered by email to the addresses on file and are deemed given when sent. Electronic signatures (including e-signed Work Authorizations and text/email approvals) are valid and binding.
Severability; Survival; Entire Agreement
If any provision is found unenforceable, the remainder remains in effect. Sections concerning payment, disposal authorization, documentation, confidentiality, limitation of liability, indemnification, governing law, and dispute resolution survive completion. These Terms, together with the signed Work Authorization/Agreement, constitute the entire agreement and supersede prior discussions.

The Company may update these Terms from time to time. The version in effect at the time of Work Authorization governs the project unless othe
